Terms and Conditions of Use

Please read these AI Grant Writing Tool Terms and Conditions (the “AI Terms and Conditions”) carefully before using 2745226 ALBERTA INC. o/a The Grant Roadmap's (“The Grant Roadmap”, “we”, “our”, “us”) AI Grant Writing Tool (the “AI Grant Writing Tool”). By accessing or using the AI Grant Writing Tool, you (“User” or “you”) acknowledge that you have read, understood, and agree to be bound by these AI Terms and Conditions. If you do not agree to these AI Terms and Conditions, you must not access or use the AI Grant Writing Tool. These AI Terms and Conditions supplement and are subject to the General Terms and Conditions governing your use of The Grant Roadmap’s software-as-a-service platform (the “Platform”).
1. Overview
The AI Grant Writing Tool functionality is delivered and made available through the Platform via a secure API integration with OpenAI's business environment and is not connected to OpenAI's public consumer products.
The AI Grant Writing Tool is a feature within the Platform that uses artificial intelligence to assist Users in drafting and refining grant applications. The AI Grant Writing Tool is a drafting assistance resource only and does not provide legal, financial, accounting, tax, grant application strategy, or other professional advice. The AI Grant Writing Tool is intended to support, not replace, the professional judgment of the User.
Users are solely responsible for: (a) exercising independent professional judgment in reviewing, evaluating, verifying, and approving all content generated by the AI Grant Writing Tool before any use or submission; and (b) seeking independent professional advice as appropriate to their specific circumstances. The Grant Roadmap does not review, validate, or approve any AI Grant Writing Tool output and assumes no responsibility for the accuracy, completeness, suitability, or appropriateness of such content for any particular purpose or grant application.
2. Eligibility and Account Access
Access to the AI Grant Writing Tool requires an authenticated account on the Platform. Use of the AI Grant Writing Tool is limited to registered Users of the Platform (Premium subscriptions) and is not available to the general public.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify The Grant Roadmap immediately of any unauthorized use of your account.
3. AI Technology and Third-Party Integration
3.1 OpenAI API Integration
The AI Grant Writing Tool relies on third-party services, particularly OpenAI's language models, accessed through OpenAI's secure business API. This integration operates under OpenAI's API terms and usage policies (available at https://openai.com/policies/how-your-data-is-used-to-improve-model-performance/) (the “OpenAI API Terms”), which are separate from OpenAI's terms governing the use of its consumer-facing products such as ChatGPT. The Grant Roadmap does not control and is not responsible for the availability, accuracy, content, or policies of such third-party services. Your use of features powered by third-party services is subject to those third parties’ terms and policies. The Grant Roadmap makes no representations or warranties regarding third-party services and disclaims all liability for any harm, loss, or damage arising from the use, unavailability, or malfunction of such services, including changes to third-party APIs, terms, or functionality.
3.2 Model Training
User Data submitted through the AI Grant Writing Tool is not used to train or improve OpenAI's foundation models. This is the default setting under the OpenAI API Terms, and The Grant Roadmap has not opted into any data-sharing arrangement that would change this default setting.
“User Data” means any corporate and governance information, personal information, sensitive personal information, financial and budgetary records and data, project plans, objectives, intellectual property, and organizational documents.
3.3 Scope of AI Functionality
The AI Grant Writing Tool is configured specifically for grant application support, application drafting, and Platform workflows. It is not a general-purpose AI assistant and is not intended for use outside the Platform’s grant writing context.
4. Data Handling and Privacy
4.1 Data Storage
User Data, uploaded documents, and AI-generated outputs are stored within The Grant Roadmap's secured infrastructure hosted on Amazon Web Services (AWS). User Data is not stored in OpenAI's systems beyond the processing required for the AI Grant Writing Tool to generate a response.
4.2 Data Confidentiality
The Grant Roadmap does not sell, share, or license User Data to third parties for commercial purposes. Content submitted by Users, including proprietary business information and grant application drafts, is treated as confidential within the limits described in these AI Terms and Conditions and our Privacy Policy.
4.3 Sensitive Information
Notwithstanding Section 4.2, Users should exercise caution when submitting User Data that is subject to legal confidentiality obligations, regulatory restrictions, or contractual non-disclosure requirements. While reasonable security measures are in place, no digital platform can guarantee absolute security. Users submit User Data at their own discretion. By submitting any User Data through the AI Grant Writing Tool, the User represents and warrants that: (a) the User has all necessary legal rights, title, and authority to submit such User Data; (b) the User has obtained all required consents, authorizations, and approvals from any third parties whose information (including personal information) is included in the User Data; (c) the User has provided all notices required by applicable law or contract in connection with the submission of such User Data; and (d) the submission and processing of such User Data through the AI Grant Writing Tool does not violate any applicable law, regulation, or contractual obligation.
4.4 Data Retention
Unless immediate deletion is explicitly requested by the User, the data retention period is 3 months after an account has been closed. Our deletion policy is to remove the User’s account and delete all your User Data stored in the Platform within a 3 month time frame following the account closure.
5. Security Measures
The Grant Roadmap implements the following technical and administrative controls:
- Authenticated User access required for all Platform features;
- Encrypted User Data transmission using industry-standard protocols;
- Controlled database access with role-based administrative permissions; and
- Secured cloud hosting infrastructure via AWS.
Security measures are reviewed periodically and updated as needed. Users are encouraged to report suspected security issues to info@thegrantroadmap.com.
6. Acceptable Use
Users may use the AI Grant Writing Tool only for lawful purposes related to grant application development. The following are prohibited:
- Submitting false, misleading, or fraudulent information in connection with any grant application;
- Attempting to circumvent, reverse-engineer, decompile, disassemble, or otherwise interfere with the Platform’s AI controls, security systems, or any technical limitations or restrictions;
- Using the AI Grant Writing Tool to generate content for applications in which you have a conflict of interest that is not disclosed to the relevant funder, or for any application where you are not an authorized representative of the applicant;
- Sharing, transferring, or permitting access to your account credentials with any unauthorized individuals, or using another User’s account without authorization;
- Using the Platform or the AI Grant Writing Tool in any way that violates applicable laws, regulations, or third-party rights, including intellectual property, privacy, or contractual rights;
- Submitting content that infringes any patent, trademark, copyright, trade secret, or other proprietary rights of any third party;
- Submitting content that contains viruses, malware, or any other harmful code or materials designed to interrupt, damage, or limit the functionality of any software or hardware;
- Using the AI Grant Writing Tool to generate content that is defamatory, obscene, harassing, threatening, or otherwise objectionable;
- Using automated scripts, bots, or other automated means to access or interact with the AI Grant Writing Tool without prior written consent from The Grant Roadmap;
- Reselling, sublicensing, or commercially exploiting access to the AI Grant Writing Tool or any outputs generated by the Tool;
- Engaging in any activity that interferes with, disrupts, or imposes an unreasonable burden on the Platform’s servers, networks, or infrastructure;
- Misrepresenting your identity, affiliation, or authority to submit grant applications on behalf of any organization; or
- Using the AI Grant Writing Tool for any purpose other than the preparation and development of grant applications.
7. AI-Generated Content Disclaimer
Without limiting Section 1, AI-generated content produced by the AI Grant Writing Tool is provided as a drafting aid only. The Grant Roadmap makes no representations or warranties regarding the accuracy, completeness, or fitness for purpose of any AI-generated output.
In accordance with Section 1, Users are solely responsible for reviewing, verifying, and approving all content before submission to any funder. The Grant Roadmap is not liable for any outcomes related to grant applications, funding decisions, funder relationships, or the use of AI-generated content.
AI outputs may reflect limitations inherent to language models, including factual errors, outdated information, or content that requires professional revision. Users should apply their own expertise and due diligence to all generated drafts.
8. Intellectual Property
8.1 Platform Ownership
As between The Grant Roadmap and Users, the Platform, the AI Grant Writing Tool, and all software, interfaces, workflows, algorithms, models, and proprietary features of the Platform and AI Grant Writing Tool are owned exclusively by The Grant Roadmap and its licensors and are protected by applicable intellectual property laws. Nothing in these AI Terms and Conditions or the General Terms and Conditions grants the User any right, title, or interest in or to the Platform, the AI Grant Writing Tool, or any associated intellectual property, except for the limited right to access and use the AI Grant Writing Tool in accordance with these AI Terms and Conditions. All rights not expressly granted herein are reserved by The Grant Roadmap.
8.2 User Data
Users retain ownership of User Data. By submitting User Data through the AI Grant Writing Tool, you grant The Grant Roadmap a non-exclusive, worldwide, royalty-free license to use, copy, store, process, transmit, and display such User Data solely as necessary to: (a) provide the AI Grant Writing Tool; (b) generate AI Grant Writing Tool outputs in response to your requests; (c) comply with applicable law or legal process; and (d) enforce these AI Terms and Conditions. This license continues for as long as User Data is retained in accordance with Section 4.4, after which The Grant Roadmap will delete User Data in accordance with its data retention policies.
8.3 AI-Generated Outputs
Ownership of AI-generated outputs produced using your User Data is subject to applicable law and the OpenAI API Terms. Users are responsible for ensuring their use of generated content complies with applicable law, including intellectual property law.
9. Limitation of Liability
To the fullest extent permitted by applicable law, The Grant Roadmap and its affiliates, officers, and service providers shall not be liable for:
- Any indirect, incidental, special, punitive, exemplary, or consequential damages of any kind arising from or related to the use of, or inability to use, the AI Grant Writing Tool;
- Loss of User Data, revenue, profits, business, goodwill, anticipated savings, or funding opportunities;
- Errors, inaccuracies, omissions, or incompleteness in AI-generated content or any reliance placed on such AI-generated content;
- Service interruptions, delays, or technical failures, or unavailability of the AI Grant Writing Tool;
- Any unauthorized access to, or alteration, theft, or destruction of User Data;
- Any outcome, result, or decision of any funder, granting agency, or other third party regarding any grant application;
- Any third-party claims arising from User’s use of any AI-generated content; and
- Any actions, omissions, or conduct of third-party service providers, including OpenAI.
In no event shall The Grant Roadmap's total liability exceed the amount paid by the User for access to the Platform in the 12 months preceding the claim.
THE AI GRANT WRITING TOOL AND ALL RELATED SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE GRANT ROADMAP EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE GRANT ROADMAP DOES NOT WARRANT THAT THE AI GRANT WRITING TOOL WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM THE GRANT ROADMAP OR THROUGH THE AI GRANT WRITING TOOL SHALL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE AI TERMS AND CONDITIONS.
10. Modifications to These Terms
The Grant Roadmap reserves the right to update these AI Terms and Conditions at any time. Material changes will be communicated to Users via email or Platform notification. Continued use of the AI Grant Writing Tool following notice of changes constitutes acceptance of the updated AI Terms and Conditions.
11. Governing Law
These AI Terms and Conditions are governed by the laws of the Province of Alberta and the applicable federal laws of Canada, without regard to conflict of law principles. Any disputes arising from these AI Terms and Conditions shall be subject to the exclusive jurisdiction of the courts located in Calgary, Alberta.
12. Indemnification
You agree to indemnify, defend, and hold harmless The Grant Roadmap and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the AI Grant Writing Tool; (b) any User Data you submit, post, or transmit through the AI Grant Writing Tool; (c) your breach of these AI Terms and Conditions or any applicable law or regulation; (d) your violation of any third-party rights, including intellectual property or privacy rights; (e) any grant application submitted using content generated or assisted by the AI Grant Writing Tool; or (f) any fraudulent, misleading, or inaccurate information submitted through the AI Grant Writing Tool. This indemnification obligation shall survive termination of your account and these AI Terms and Conditions.
13. Suspension and Termination
The Grant Roadmap reserves the right, in its sole discretion and without prior notice or liability, to suspend, restrict, or terminate your access to the AI Grant Writing Tool, in whole or in part, at any time and for any reason, including without limitation: (a) breach of these AI Terms and Conditions or the General Terms and Conditions; (b) conduct that The Grant Roadmap reasonably believes is harmful to other Users, third parties, or The Grant Roadmap’s business interests; (c) suspected fraudulent, abusive, or illegal activity; or (d) requests by law enforcement or government agencies. Upon termination, your right to use the AI Grant Writing Tool will immediately cease, and The Grant Roadmap may delete your data in accordance with the Data Retention provisions herein.
14. Force Majeure
The Grant Roadmap shall not be liable for any failure or delay in performing its obligations under these AI Terms and Conditions where such failure or delay results from circumstances beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics or pandemics, strikes or labour disputes, failures or delays by third-party service providers (including OpenAI), internet or telecommunications failures, cyberattacks, power outages, or government actions. During any such event, The Grant Roadmap’s obligations shall be suspended, and The Grant Roadmap shall use reasonable efforts to resume performance as soon as practicable.
